Please read this agreement before you play. This End User License Agreement ("EULA") is a legal agreement between you and Monologic Games about your use of Boxing Underdog. By installing, starting or playing Boxing Underdog, or by accepting this EULA in the game, you agree to it. If you do not agree, do not use Boxing Underdog. Nothing in this EULA takes away the rights you have as a consumer under the law that applies to you.
1. Who we are and what this EULA covers
- Boxing Underdog is developed and published by Damian Boczek-Gawliczek, trading as Monologic Games, Żwirki i Wigury 65A/405, 43-190 Mikołów, Poland, NIP (Polish tax identification number) 6351770198 ("Monologic Games", "we", "us", "our"). You can contact us at [email protected].
- "Boxing Underdog" or the "Product" means the Boxing Underdog game software on every platform, its updates and additional content, the online services we provide for it (such as matchmaking, ranked fights, direct fights, the social lobby and rooms, tournaments, leaderboards and fight recordings), and the virtual currency and virtual items in it. "You" means the person who uses the Product.
- Our Community Rules are part of this EULA. Our Privacy Policy explains how we handle personal data.
2. This is our agreement, not the platform's
- This EULA is an agreement between you and Monologic Games only. It is not an agreement between you and Sony Interactive Entertainment Inc. or any of its affiliates (together "SIE"), Meta Platforms Technologies, LLC or any of its affiliates ("Meta"), or Valve Corporation ("Valve") (each a "Platform Provider").
- Monologic Games alone is responsible for the Product, its content and its online services, including support, maintenance, updates and any claim relating to the Product. No Platform Provider is responsible for the Product or has any obligation to you under this EULA.
- You also use the Product under the terms of the platform you play on: on PlayStation®5, the PlayStation™Network Terms of Service and User Agreement and SIE's software usage terms for software on PlayStation consoles; on Meta Quest, Meta's terms of service and the Meta Horizon Store terms; on Steam, the Steam Subscriber Agreement (together, the "Platform Terms"). If this EULA conflicts with the Platform Terms, the Platform Terms prevail to the extent of the conflict. Any action that a Platform Provider takes regarding your platform account, including its own moderation and enforcement, is governed by its Platform Terms; this EULA governs the moderation that Monologic Games carries out in the Product (section 11).
- SIE is an intended third-party beneficiary of this EULA and is entitled to enforce its terms against you directly. Apart from SIE, no third party has the right to enforce this EULA.
3. Your license
- We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the Product for your own personal, non-commercial entertainment, in accordance with this EULA and the Platform Terms.
- On PlayStation®5 you may use the Product only on a PlayStation®5 console (with PlayStation®VR2) that you own or control, with your own PlayStation™Network account. On any other platform you may use the Product only on a compatible device that you own or control, with your own account on that platform.
- The Product is licensed to you, not sold. We and our licensors keep all rights, title and interest in the Product, including all intellectual property rights in it, except for the license granted to you in this EULA. All rights not expressly granted to you are reserved.
- The Product contains third-party software components that are subject to their own license terms. Those terms apply to those components.
4. What you must not do
Except where the law expressly allows it and the right cannot be limited by contract, you must not:
- copy, sell, rent, lend, sublicense, distribute or otherwise make the Product available to others;
- modify, translate, decompile, disassemble or reverse engineer the Product, or create derivative works based on it;
- use cheats, bots, macros, automation, modified game files or clients, or any other unauthorised software or hardware that gives you an advantage or that interferes with the Product, its online services or other players;
- manipulate the tracking of your headset or controllers, your network connection or the game's data to gain an advantage, or deliberately exploit a bug instead of reporting it to us;
- access or attempt to access accounts, servers, data or parts of the Product that you are not authorised to access, circumvent technical protection or security measures, or collect data from the Product or its online services by automated means;
- use the Product for any commercial purpose, except as allowed in section 8.5 or by us in writing; or
- use the Product in a way that breaks the law, the Platform Terms, this EULA or the Community Rules.
5. Accounts and online services
- Some features of the Product require a platform account, an internet connection and our online services. On PlayStation®5, online play with other players also requires a PlayStation®Plus membership. You are responsible for what happens on your account. Your account is personal: do not share it, sell it or let anyone else use it.
- Your game account on each platform is separate. Progress, Bucks and virtual items do not move between PlayStation®5, Meta Quest and Steam.
- Boxing Underdog has cross-platform play: in online modes you may play with players on other platforms.
- Features can differ between platforms. In the current version, for example, there are no real-money purchases on PlayStation®5.
- We provide the online services with the help of service providers (for example PlayFab, Photon, Microsoft Azure and Cloudflare). We work to keep them available, but we do not promise that they will be uninterrupted or free of errors; they may be unavailable during maintenance, updates or events beyond our reasonable control.
- We may change, add or remove features and online services, for example to improve the game, keep it fair and secure, or comply with the law. If we decide to permanently end the online services of the Product, we will announce it in the game or on boxingunderdog.com at least 30 days in advance, unless this is impossible for reasons beyond our control. This does not limit your statutory rights.
- We may release updates that are needed to keep using the Product or its online services. Updates may be installed automatically according to your platform's settings.
6. Virtual currency and virtual items
- The Product contains a virtual currency ("Bucks") and virtual items (for example outfits and gloves). You earn Bucks by playing. On Meta Quest and Steam you can also buy Bucks or items through the official store of your platform. In the current version there are no real-money purchases on PlayStation®5; if we add them, they will be offered only through PlayStation™Store.
- Bucks and virtual items are licensed to you as part of your license to use the Product; they are not sold to you. They have no monetary value, are not money or property, cannot be exchanged for real money, goods or anything else of value outside the Product, and are not refundable, except where the law or the refund rules of your platform's store require it.
- You may obtain Bucks and virtual items only by playing the Product or, where we offer it, by purchasing them through the official store of your platform (on PlayStation, only through PlayStation™Store). You must not sell, buy, trade, exchange or otherwise transfer Bucks, virtual items or accounts for real money or anything else of value outside the Product, including by selling, buying, renting or sharing a platform account or game account, and you must not use third-party services that offer this.
- If you break section 6.3, or obtain Bucks, virtual items, results or progress by cheating, by exploiting a bug or through another breach of this EULA, we may remove them.
- We may change the prices of items in Bucks, the items on offer and the amount of Bucks you earn. We will not take away Bucks or items that you obtained in accordance with this EULA, except as described in this EULA.
7. Health and safety
- Boxing Underdog is a physical virtual reality game. Before you play, read the health and safety information for your headset and platform. Clear a safe play space, keep your play area boundary set up, take regular breaks and stop playing if you feel discomfort, dizziness, nausea or pain.
- Boxing in virtual reality can be strenuous. Do not play if your health does not allow intense physical activity, and ask a doctor if you are not sure.
- Boxing Underdog is rated PEGI 16 (or the equivalent rating in your region). If you are a minor, you may use the Product only with the consent and under the supervision of a parent or legal guardian, who accepts this EULA on your behalf, and only in line with the age rules of your platform.
8. Your content
- "Your Content" means what you create or send in the Product: your name as shown in the game (on PlayStation®5, your Online ID), your avatar, the names of tournaments you create, your voice in voice chat where it exists, your reports and messages to us, the recordings of your fights and the films you choose to publish.
- You are responsible for Your Content. It must follow this EULA, the Community Rules and the law, and must not infringe anyone's rights.
- You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, display and transmit Your Content, and to adapt it where needed (for example to change its format or length), to the extent necessary to operate, provide, moderate and improve the Product and its online services, including showing your fights and films on boxingunderdog.com as described in the Privacy Policy. This license lasts for as long as Your Content is used in the Product and for any longer period required by law or needed to handle a report or a dispute.
- We may remove, hide or rename Your Content that breaks this EULA or the Community Rules, or that the law requires us to remove.
- You may record and share videos, streams and screenshots of your own gameplay, including on channels that earn money from advertising, as long as you do not sell the Product itself, do not suggest that we endorse you, and follow your platform's rules for capturing and sharing.
9. Unacceptable behaviour
"Unacceptable behaviour" is any behaviour in the Product, or towards other players in connection with the Product, that breaks the Community Rules or the law, in particular:
- harassing, bullying, threatening or intimidating other players;
- hate speech or discrimination, including on the basis of race, ethnicity, nationality, religion, sex, gender identity, sexual orientation, disability or age;
- sexual content or sexual behaviour towards other players, including obscene gestures with your avatar, and any sexual approach to a minor;
- offensive, hateful or misleading names, including the names of tournaments you create;
- impersonating other players, Monologic Games staff or moderators, or SIE, Meta, Valve or their staff;
- sharing other people's personal information, or pressuring other players to share theirs;
- cheating, exploiting bugs, using unauthorised software or hardware, fixing or manipulating the results of fights, and quitting fights on purpose to avoid a loss;
- selling, buying or trading Bucks, virtual items or accounts outside the Product (section 6.3);
- spam, scams, advertising and phishing; and
- encouraging violence outside the game, self-harm or illegal activity, and sharing illegal content.
The Community Rules describe these rules in more detail.
10. How to report unacceptable behaviour
- In the game: press Report on the fight tablet during or after a fight, or next to the player in the player list of an online room. The game attaches the reported player's identity and platform (on PlayStation®5, their Online ID) and the fight or room automatically; choose what happened and send the report.
- Outside the game: report a player on boxingunderdog.com/feedback or by email to [email protected], with the player's name, their platform, and when and where it happened.
- A person in our moderation team reviews every report, and we tell the player who reported, in the game, whether we took action. The reported player is not told who reported them. The Community Rules explain what happens after a report, and the Privacy Policy explains what data a report contains.
- You can also use the reporting features of your platform; the Platform Provider handles those reports under its own Platform Terms.
- If someone is in immediate danger, contact your local emergency services first.
11. Moderation and enforcement
- Moderation in the Product is carried out by Monologic Games (our staff and community moderators acting on our instructions), not by SIE, Meta or Valve.
- If you break this EULA or the Community Rules, we may, depending on how serious the breach is and whether it is repeated: warn you; give you a timeout from ranked online play, social online play or both for up to 14 days; hide or rename your name, a tournament name or other content, or remove content; and remove Bucks, virtual items, results or ranking points obtained through the breach.
- When we give you a sanction, we tell you in the game what it is, which part of the game it affects and when it ends. If you think a sanction is a mistake, you can appeal on boxingunderdog.com/feedback or at [email protected]; a person reviews every appeal.
- Platform Providers may separately take action regarding your platform account under their Platform Terms.
- Where the law requires it, or where someone's safety is at risk, we may report content or behaviour to the competent authorities.
12. Ending this EULA
- You may stop using the Product at any time and uninstall it. You can ask us to delete your game account at [email protected].
- We may suspend or end this EULA and your access to the online services of the Product if you seriously or repeatedly break this EULA, the Community Rules or the law, if you use the Product fraudulently, or if a Platform Provider or the law requires it. Before we do so, we will tell you why and give you a chance to respond, unless the law prevents it or there is an urgent reason, such as protecting other players.
- When this EULA ends, your license ends and you must stop using the Product. Sections 2, 6.2, 8.3, 14 and 15 continue to apply. Ending this EULA does not affect the rights you have under mandatory law.
13. Privacy
How we handle personal data, including PlayStation™Network account data, fight recordings and reports, is described in our Privacy Policy.
14. Warranty and liability
- If you are a consumer, you have statutory rights regarding digital content and digital services, including the right to a Product that conforms to the contract. Nothing in this EULA limits or excludes those rights.
- Apart from these statutory rights, and to the extent permitted by law, the Product is provided "as is" and "as available", and we do not promise that it will meet your particular needs or be free of errors.
- We are not responsible for failures of the Platform Providers' services or of your internet connection that we did not cause.
- Nothing in this EULA limits or excludes our liability for death or personal injury caused by our negligence, for damage we cause intentionally or through gross negligence, or any other liability that cannot be limited or excluded under applicable law.
- If you use the Product other than as a consumer, our total liability to you is limited to the amount you paid for the Product, and we are not liable for lost profits or indirect damage, to the extent permitted by law.
15. Governing law and disputes
- This EULA is governed by the law of Poland. If you are a consumer, you also keep the protection of the mandatory provisions of the law of the country where you have your habitual residence.
- If you have a problem with the Product, please contact us first at [email protected] so that we can try to solve it.
- Disputes are decided by the competent courts of Poland. If you are a consumer, you may also bring proceedings in the courts of the country where you live, and we may bring proceedings against you only in those courts.
16. Changes to this EULA
- We may change this EULA, for example when we add features, when the law or the Platform Terms change, or to make it clearer. We will tell you about important changes in the game or on boxingunderdog.com before they take effect and, where needed, ask you to accept them in the game. If you do not accept the changes, you can stop using the Product; your statutory rights are not affected.
- The current version of this EULA is always available at boxingunderdog.com/legal/eula/.
17. General
- If any part of this EULA is found invalid or unenforceable, the rest of it remains in force.
- If we do not enforce a right straight away, we do not give it up.
- You may not transfer your rights under this EULA. We may transfer our rights and obligations to a company that takes over the Product, provided that your rights are not reduced.
- This EULA, together with the Community Rules and the Privacy Policy, is the whole agreement between you and us about the Product.
- This EULA is written in English. If we provide a translation and it differs from the English version, the English version applies, unless mandatory law where you live provides otherwise.
